1. Acceptance of Terms

By accessing or using PGSwift's services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you ("Merchant", "you", or "your") and PGSwift ("PGSwift", "we", "our", or "us").

2. Definitions

• "Services" means the payment processing, payout disbursement, and related financial services provided by PGSwift.
• "Merchant" means any business entity or individual that has registered to use PGSwift's services.
• "Transaction" means any payment acceptance or payout disbursement processed through PGSwift.
• "API" means the Application Programming Interface provided by PGSwift for integration purposes.
• "Dashboard" means the web-based management portal provided to Merchants.

3. Services

PGSwift provides the following services, subject to these Terms:

• Payment Acceptance: Accept payments via bank transfers, virtual accounts, QRIS, and e-wallets.
• Payout Disbursement: Send funds to bank accounts and e-wallets across Indonesia.
• Dashboard Access: Monitor transactions, manage settings, and access reports.
• API Integration: Programmatic access to PGSwift's payment infrastructure.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

4. Account Registration

To use our services, you must:

• Be a legally registered business entity in Indonesia or have a valid business presence
• Complete our registration and KYC (Know Your Customer) verification process
• Provide accurate and complete information about your business
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

5. Fees and Payment

Our fees are outlined on our Pricing page and in your merchant agreement. Key points include:

• Fees are deducted automatically from settled transactions
• Settlement occurs according to your agreed settlement schedule (T+0, T+1, etc.)
• Additional fees may apply for chargebacks, refunds, or special services
• We reserve the right to modify fees with 30 days advance notice

6. Prohibited Activities

You may not use PGSwift's services for:

• Illegal activities or transactions prohibited by Indonesian law
• Money laundering, terrorist financing, or fraud
• Sale of prohibited goods or services
• Transactions that violate card network rules
• Any activity that could damage PGSwift's reputation or operations

Violation of these prohibitions may result in immediate account termination and reporting to relevant authorities.

7. Intellectual Property

All intellectual property rights in PGSwift's services, including but not limited to software, APIs, documentation, trademarks, and logos, remain the exclusive property of PGSwift.

You are granted a limited, non-exclusive, non-transferable license to use our services and APIs solely for the purpose of processing transactions through your business.

8. Limitation of Liability

To the maximum extent permitted by law:

• PGSwift shall not be liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for losses caused by events beyond our reasonable control
• We provide our services "as is" without warranties beyond those expressly stated

9. Termination

Either party may terminate this agreement:

• With 30 days written notice for any reason
• Immediately if the other party breaches these Terms
• Immediately if required by regulatory authorities

Upon termination, we will settle any pending transactions and return any funds held on your behalf, less any fees or amounts owed to us.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from these Terms shall be resolved through the courts of Jakarta, Indonesia.
